Declaration
In recognition that sociology:

Is a scientific study of the society

Is a scientific study of social lives, social organizations, and social interactions

Is a scientific study of social behaviors of individual and their institutions in interaction with the environment in which they exists

Is an overreaching study connecting all studies related to humanity including but not limited to history, psychology, and economic

WE, the founding members of Sociologists Association establish this association as a forum whereby sociological knowledge will be applied and exploited to help the society discover in harmony its natural endowment and its exploitation towards meeting their need and bringing about socio-economical prosperity

Article one: Name and the seat of the association

Name of the association

The name of association shall be Association of Sociologists.

Seat of the association

The seat of the association shall be Mwanza Tanzania

Article two: Objectives of the association

2.1. To advance the goal of sociology in the society through research and enlightening on all societal issues concerning and related to human beings lives, behaviors and the environment as a whole.
2.2. To bring about harmonious interaction of all parts in the society
2.3. To conduct scientific research on all issues concerning, connected and related to the society including but not limited to behaviors of individuals, the environment, and daily lives of individuals in their families, homestead, and globally.
2.4. To review reports of scientific studies and align them for publications and dissemination.
2.5. To provide consultation services on all societal issues pertaining to sociology in accordance to clause 3 of the association’s declaration.

Article three: Structure of the association

The association shall be made up of the following parts

3.2. Leaders
3.3. Board of Directors
3.4. Board of Trustees

Article four: Membership

4.1 Membership eligibility
Membership is open to
a). all sociology graduates
b). all individuals who subscribe to the objectives of the association
c). all learning institutions that enroll and offer sociology education programs at all levels

4.2. Types of membership.
a). Single individual members
b). collective individual members
c). learning institutions members

4.3. How to become a member
a). interested parties shall signify their interest to join the association by filling and filing a designated form along with a prescribed non refundable application fees.
b). upon approval of the application after meeting all the criteria a member will be admitted into the association after paying a non refundable membership admission fee.

4.4. Membership responsibility
a). to pay membership and other sanctioned dues
b). to takes part and participate in all activities of the association in its mission to realize its objectives.

4.5. Membership rights
a). to take part in all eligible association undertaking.
b). to take part in all eligible association meeting.
c). not to be discriminated
d). to own opinion, freedom of expression, and to be heard
e). to elect and to be elected into electable position

4.6. Termination of membership
Membership shall be terminated if
a). a member resigns
b). a member fails to comply with membership prescribed duties and conditions
c). a member fails to respect the goals upon which the association is founded and contribute towards the realization of these goals
d). a member will be medically diagnosed and proved insane
e). a member violate the constitution of the association
f). a member dies
g). a member will be proved to have solicited bribe or bribed

Article five: Association Leadership

The association shall has the following leadership position
a). Chairperson
b). Assistant chairperson
c). Secretary
d). Assistant secretary
e). Treasurer

5.1 leadership attributes
a). integrity
b). ability to ensure and oversea the implementation of association resolution
c). ability to safeguard and ensure the provision of the constitution are strictly adhered to and implemented
d). proved wisdom in making decision and implementing them for and in the best interest of the association
e). ability to initiate and inspire team building towards the realization of the goals of the association
f). role model for respect of the constitution and realization of the goals of the associations
g). the treasurer should posses skill in bookkeeping and accountancy

5.2 Election process
a). election shall be through a secret ballot in which a candidate who scores highest vote will be declared a winner
b). in the event that only one candidate has stood for election, YES and NO vote will be casted to determine the winner where many YES or NO vote will signify that the candidate has been elected or not elected respectively
c). candidate will only be allowed to stand for election if they meet all the condition prescribed in the constitution of the association.

5.3 Tenure of leadership

a). the leadership tenure will be three years unless an elected leader violent or evokes any of the provision of the constitution that could affect his or her standing condition as a member of the association.
b). a member can be re elected into a second term as long as the terms are not in succession.

Article six: Board of Trustees

There shall be a board of trustee made up of individuals who are not members of the association who will be appointed by the member general meeting.

6.1 Function of the Board of Trustee
a). advisory
b). mediation and internal dispute resolution
c). Capacity building, empowering, and resource mobilization.
d). Over sighting of the dissolution of the association.

6.2 Tenure of the Board of Trustee
The office tenure of the board of trustee will be three years running concurrently with the tenure of the elected office bearers.

Article seven: Board of Directors

There shall be a board of directors of the association made up of:
a). Individuals who are not members of the association who will be elected by the members general assembly.
b). Elected office bearer by virtue of their position.

7.1 Function of the Board of Directors
a). to formulate the vision, mission, and policies of the association
b). to mobilize resources needed for the implementation and the realization of the vision, missions, policies, and goals of the association.
c). to ensure that the association becomes a law abiding citizen of the society.
d). to ensure that the association comply fully with the legal requirements of all laws and regulation under which it is registers and allowed to operate and function.
e). to ensure the realization of the goals of sociology in the society.

Article eight: The meetings of the association

The association shall have the following meeting:
a). members annual general assembly
b). secretariat meeting
c). board of director meeting
d). members quarterly meeting

8.1 Members annual meeting:
a) This is the main annual meeting of the association
b) The meeting comprises of all members of the association

8.1.1 Function of the annual meeting
a). to elect leaders of the association
b). to elect Board of Trustee of the association
c). to elect Board of Director of the association
d). to appoint members who will take part in the secretariat meeting
e). to deliberate and adopt all association’s reports pertaining to action plans, activities reports, financial reports.
f). to adopt the vision, mission, and the policies of the association
g). to appoint two members who will be signatories to all financial documents
h). to select the venue for the members general meeting
i). to adopt the constitution
j). to adopt all subsequent amendment of the constitution.

8.1.2 Types of Members general assembly

There shall two types of member’s general assembly
a). annual members general assembly
b). extra ordinary members general assembly

8.1.3. Procedure of the member’s general assembly
The chairperson of the member’s assembly shall be the chairperson of the association. In the event of his absence the assistant chairperson will chair the meeting. When all the two are not present, members will elect any members among these present to chair the meeting.

8.1.4. Procedure of decision making
All decision will be by the way of the secret ballot which will score two third (2/3) of all casted and valid votes.

8.2 meeting of the secretariat
The secretariat shall meet once monthly or more as they deem fit

8.2.1. Extra ordinary meeting of the secretariat
All extra ordinary meetings shall convene in response to compelling situation.

8.3 The meeting of the Board of Directors
The board of director shall meet before the member’s annual general assembly.

8.4. The quarterly member’s general assembly
There shall be all members quarterly meeting as required by the laws and regulations under which the association is registered and operates. The quarterly member’s general assembly shall:
a).to prepare quarterly activity reports of the association
b). to prepare quarterly financial report of the association
c). to prepare quarterly status report of the association

8.5 The quorum of the meetings
The quorum of all the meetings of the association shall be two third (2/3) of its respective eligible constituents.

Article nine: Leaders of the association

All the leaders of the association shall be elected by the member’s general assembly in every three years.
9.1 The chairperson:
a). will be the overall aphorism of the association
b). will be elected by half plus one of all the valid votes
c). will be in power for the duration of three years (3), and he or she can be elected again for the second term
d). will be the chairperson of all the secretariat and annual meetings
e). will be out of power by the vote of no confidence and will be removed by two third (2/3) of all quorum votes
f). will be responsible for approving the payment of the association.

9.2 The vice chair person
a). will be bearer of all functions of the chair person on his absence
b). will be voted by half plus one of all the votes
c). His/her term office will be three years, he/she can be elected again if the members will decide so
d). will be removed from his power by the vote of no confidence and he/she can be removed by two third (2/3) of all quorum’s vote

9.3 The secretary
a). will be elected in the annual meeting of all members
b). He/she will the head of the execution of all the associational activities. He/she will the custodian all documents and asset register of the association.
c). will be signatory of all the associational transactions from group A.
d). will elected by half plus one of all the votes of the annual meeting
e). will be on power for a duration of three years and can be re-elected if members finds it so. He/she can be removed from his power by the vote of no confidence and he/she can be removed by two third (2/3) of all quorum’s vote

9.4 The vice secretary
a). will be office bearer on the absence of the secretary
b). will be elected by half plus one of all the annual meeting votes
c). He/she can be removed from his power by the vote of no confidence and he/she can be removed by two third (2/3) of all quorum’s vote
e). His/her office term will be three years and can be re-elected if members finds it so

9.5 The treasurer
a). will be elected by the annual meeting
b). will responsible for all financial documents of the association
c). will be reporting to the chair person
d). He/she can be removed from his power by the vote of no confidence and he/she can be removed by two third (2/3) of all quorum’s vote
e). His/her office term will be three years and can be re-elected if members finds it so
f). will be signatory of all the associational transactions from group A.

Article ten: Financial matters

10.1. Sources of revenue

The financial sources of the association shall be:-
a).fine sanctioned and imposed on members for the violation of rules and regulations and fees for various services to be offered by the association.
b).membership subscription
c). donations and grants
d). loans and overdraft

10.2. Financial regulations and payment procedure

All financial transaction shall be through the designated bank account of the association

10.3 auditing of the accounts of the association
The accounts of the association shall be subject to external auditing by an external auditor who will be appointed by the member’s general assembly

10.4 income and expenditure report
The income and expenditure report shall be compiled and presented before the members’ general assembly for deliberation and adaptation.

10.5. Signatories
The signatories to the financial documents and payments shall be:
a). secretary
b). treasurer
c). two members who will be appointed by the members’ general assembly

10.6. Categories and modality of the signatories
a). the secretary and treasurer will be category A signatories
b). the two appointed members will be category B signatories
c). all payment shall be authorized by two signatories such that one shall be category A and another shall be category B signatory.
d). the payment documents shall be authorized by the signature of the chairperson or any person deputizing the chairperson.

11: amendment of the constitution

A motion of amending the constitution may be tabled by the secretariat or any other member. The amendment shall be adopted where and when two third (2/3) of eligible members votes in favor of the tabled motion.

12: dissolution of the association

The association shall dissolve if the motion to dissolve it is supported by three quarters of eligible voters of all members under the over sighting of the board of trustees.

13: allocation of assets and liability of the dissolved association

a). the asset of the association shall be sold to raise money to clear any debt.
b). if the association is not in debt at the time of dissolution, its asset shall be transferred to another association with similar vision, mission, and policies.
c). if the association is not in debt, cash balance in hand and bank account shall be equally distributed among all members.

14. Dispute resolution

Dispute shall be resolved through and by way of deliberation in the meeting of the board of directors and subsequently in the members’ general assembly.
